MERGE TO FORM
NATIONAL DISTRIBUTION ALLIANCE, LLC

Expanded distribution network offers unprecedented penetration of primary and secondary markets from New York to Cape May, NJ

Maspeth, NY, August 17, 2006 - Trans Alliance Media Group and National Distribution Services, leading distributors of newspapers and magazines in the Northeast corridor, have announced a joint venture, effective August 21, 2006, that gives publishers and retailers unprecedented efficiencies and sales opportunities in the New York City area and in markets spanning to Cape May, NJ.

The joint venture company, National Distribution Alliance, LLC (NDA), reaches more than 6,000 retail outlets daily and serves a wide range of ethnic and demographic markets. NDA combines significant penetration of Hispanic and other ethnic markets, hallmarks of Trans Alliance, with wide penetration of high-income markets, hallmarks of Northeast Distribution. The joint venture also includes Mid Atlantic News Distributors, LLC, a Trans Alliance subsidiary that serves the Atlantic City casinos market, among others. NDA's newspaper clients include Newsday, The New York Times, The Wall Street Journal, the New York Post and the New York Daily News.

NDA features on-time, accurate delivery to a wide range of locations and specializes in single-copy sales, honor box delivery, free distribution, and special event delivery. The company also offers publishers professional sales and marketing services and a dedicated field force.

There will be a seamless transition for existing customers of the merged companies, according to NDA Chief Executive Officer, Michael Presto. "This merger creates a stronger company capable of efficiently delivering a wider range of products - including newspapers and magazines in every consumer and business category - with broader coverage and deeper market penetration. Our publishers and retailers will enjoy immediate benefits and incremental sales opportunities," he said.

Michael Pouchie, NDA Chief Operating Officer, says that "retailers will benefit from our superior customer care service. We deliver the exact order requested by each retailer - that means no minimums resulting in less time spent on return processing. In addition, we offer next day make-orders and on-site bill adjustments so retailers do not have to wait for credits."

The company's headquarters will be at 30-10 Review Avenue, Long Island City, New York, 11101.
